Infrastructure (the "Vendor")
RE: The Corporation ofthe Town ofTillsonburg (the "Purchaser') purchase from
the Vendor of the property legally described as Lot 74, Plan 41M137, Town
ofTillsonburg, Oxford County, being the whole of PIN 00026-0755 (LT) (the
Forfeited Corporate Property") pursuant to a Transfer Agreement for
Forfeited Corporate Property between the Purchaser, as purchaser, and the'
Vendor, as vendor, accepted December 15, 2017, as may be amended from
time -to time (the "Purchase Agreement') '
In consideration of and notwithstanding the closing of the above -noted sale, the undersigned
hereby covenants and agrees that with respect to the Harmonized Sales Tax ("HST")- payable
pursuant to the Excise Tax Act Canada (the "Act") by reason of the sale of the Property and all
buildings, structures and improvements thereon, if any:
1. HST is payable in respect of this transaction in accordance with the Act and•} the
undersigned, having paid or agreed to pay the consideration for the sale, is liable;foit the
payment of HST thereon;

2. The undersigned is a registrant under the Act (HST registration number
RT), which registration has not been withdrawn or revokdd,
and the undersigned undertakes to file returns and remit any HST owing on the sale to the
Receiver General to the extent required by the Act; and J
3. The undersigned shall indemnify and hold the Vendor harmless from any liability under
the Act arising because of any incorrect statement or breach of the obligations of the
undersigned set out in thisundertaking or the Purchase Agreement or arising under the, Act
including without limitation its obligation under Section 228(4) ofthe Act), together with
all loss, costs and expenses resulting from such breach. its'
The undersigned acknowledges and agrees that this Certificate and Indemnity shall survive:and
not merge upon the completion ofthe transaction contemplated by the Purchase Agreements shall
enure to the benefit of the Vendor and its successors and assigns and shall be binding uponbthk
undersigned and their respective:successors and assigns.
