3525 Agreement - To enter into a lease amendment agreement with Trillium Solar Inc.AMENDMENT TO LEASE AGREEMENT
BETWEEN:
THE CORPORATION OF THE TOWN OF TILLSONBURG(as Lessor)
AND
2225619 Ontario Inc
(as Lessee)
Regarding the Lease Agreement between the Lessor and Lessee, executed on the 27th day of November, 2009,
concerning the property known as Parcel (1) the North 9.25 Acres, Vienna Rd, Part Lots 1639, 1638A & 1613,
Plan 500, Designated as Part 1 & 2 on OXR39 & Part 4 on OXR44; Parcel (2) the South 25 acres of MID Con 4
NTR, Part Lots 8 & 9, and Parcel (3) Part of Lot 10, Concession 4 North of Talbot Rd now known as Lot 1641,
Plan 500, and more specifically described as Part 1 and part of Part 2, Plan 41R-8386, in the Town of
Tillsonburg.
THE LESSOR AND LESSEE HEREIN AGREE TO THE FOLLOWING AMENDMENT TO THE
AFOREMENTIONAGREEMENT:

Paragraph 14. Conditions. In the event that the Ontario Feed In Tariff ("FIT") Contract has not been issued or
the Lands not approved pursuant to the FIT within 120 days from the date hereof ("Condition Date"), and the
Lessee has not extended the Condition Date, then this Agreement shall be at an end and Lessee shall remove the
Equipment, if any, and have no further obligations hereunder. Provided that on written notice to Lessor
accompanied by a non-refundable deposit in the amount of $10,000.00, delivered prior to or up to 10 business
days after the Condition Date, Lessee shall have the right to extend the Condition Date for one year . The non-
refundable deposit shall be credited towards the first year least payment. Any additional extensions are subject
to approval by the Council of the Corporation of the Town of Tillsonburg, acting reasonably, and the term of
this Lease will be correspondingly extended if so granted.

Paragraph 31 - Right of First Refusal
Upon receipt of a third party Offer to purchase such lands (which the Lessor is prepared to accept), written
notice of receipt of such offer along with a copy of such offer and any intervening amendments (with the
name of the third-party buyer and any other words which would identify the third-party buyer deleted)
shall be delivered to the Lessee.
The Lessee shall have until 4:30 p.m. on the fourteenth (14th) day next following receipt of such notice
and offer to submit an offer on terms and conditions identical to those contained in such third-party offer
and any amendments, failing which the Lessor shall be free to complete such third-party transaction on the
terms and conditions set out in such third-party offer, provided that extensions of the closing date totaling
no more than 28 days may be granted without notice to the Purchaser herein.
The right of first refusal shall survive as concerns the remaining part of the property over which the Lessor
has granted the Lessee a conditional lease. In the event that the third-party transaction should fail to close
on the terms and conditions set out above, the Lessee's right of first refusal shall not lapse as concerns theproperty described therein.
ALL OTHER TERMS AND CONDITIONS IN THE AFOREMENTIONED AGREEMENT TO REMAIN
THE SAME.
