The Corporation of the Town of Tillsonburg (the Owner) shall ONLY accept
ELECTRONIC PROPOSAL SUBMISSIONS submitted through the Owner's Bidding
System Website. Proposal submissions submitted and/or received by any other method
shall be rejected, unless the Owner has instructed otherwise by published Addendum.

ELECTRONIC PROPOSAL SUBMISSIONS ONLY, shall be received by the Bidding
System, no later than 2:00:00 p.m. (14:00:00 hours) local time, on Friday, July 7, 2017.
Proponents are cautioned that the timing of their Proposal Submission is based on
when the Bid is RECEIVED by the Bidding System, not when a Bid is submitted by a
Proponent, as Bid transmission can be delayed in an "Internet Traffic Jam" due to file
transfer size, transmission speed, etc.
For the above reasons, the Owner recommends that Proponents allow sufficient time to
upload their Proposal Submission and attachment(s) (if applicable) and to resolve any
issues that may arise. The closing time and date shall be determined by the Owner's
Bidding System web clock.
Proponents should contact the Procurement Representative listed below, at least
twenty-four (24) hours prior to the closing time and date, if they encounter any
problems. The Bidding System will send a confirmation email to the Proponent advising
that their bid was submitted successfully. If you do not receive a confirmation email,
contact the Procurement Representative immediately.
Late Proposals shall not be accepted by the Owner's Bidding System.

a Proponent has obtained this Proposal Document from a third party, the onus is on the

INSTRUCTIONS TO BIDDERS
1. Bid Documents
2.1 The following documents form the basis of this bid process (the "Bid
Documents"):
a) Instructions to Bidders;
b) General Conditions and Specifications;
C) Drawings
d) Addenda issued during bidding period;
2.2 Check Bid Documents for completeness upon receipt. Inform the Town
immediately:
a) Should any documents be missing or incomplete; or,
b) Upon finding any discrepancies or omissions.

2.3 The Bid Documents are made available only for the purpose of submitting
bids for the project. Availability and/or use of the Bid Documents do not
confer a license or grant for any other purpose.
3. Amendments to Bid Documents
3.1 Questions in relation to this RFT shall be directed in writing via email to
Laurie Kirwin, Purchasing Coordinator - Ikirwin(a)tillsonburq.ca
Deadline for all questions regarding this RFT June 19, 2017. The Town
of Tillsonburg reserves the right to neither accept nor consider any
questions received after 2:00 p.m., local time on this date. The Town of
Tillsonburg will review all questions received and prepare a response that
is sent as an addendum to all Respondents.
3.2 A bid shall be disqualified where contact is made with any person at the
Town other than the individuals outlined above.
3.3 The Town shall not be responsible for instructions, clarifications or
amendments communicated orally. Instructions, clarifications or
amendments which affect the Bid Documents may only be made by
addendum.
3.4 If bidders find discrepancies, omissions, errors, departures from building

by-laws, codes or good practice, or points considered to be ambiguous or
conflicting, they shall bring them to the attention of the Town as per
Section 3.1 in writing, and not less than seven (7) business days before
the bid closing date, so that the Town may, if the Town deems it
necessary, issue instructions, clarifications, or amendments by addendum
to all bidders prior to the bid closing date. The Town will endeavor to
issue such addenda at least seventy-two (72) hours prior to bid closing.
4. Addendum/Addenda
4.1 Addendum/Addenda, if required, issued by the Purchasing Coordinator
shall form part of the Bid Call Document. Proponents shall acknowledge
receipt of any addenda when submitting their Bid through the Bidding
System. Bidders shall check a box for each addendum/addenda and any
applicable attachments that has been issued before a Bidder can submit
their Bid submission online.
4.2 Addendum/Addenda will typically be issued through the Bidding System,
Seventy -Two (72) Hours prior to Closing Time and Date.
4.3 In the event an addendum is issued within Seventy -Two (72) Hours prior
to Closing Time and Date, it may include an extension of the Closing Time
and Date. It is the responsibility of the Bidder to have received all
Addendum/Addenda that have been issued. Bidders should check online
at https://tillsonburci.bidsandtenders.ca prior to submitting their Bid and up
until Proposal closing time and date in the event additional addendums
are issued.
4.4 The Owner encourages Bidders not to submit their Bid prior to Seventy -
Two (72) hours before the Bid closing time and date, in the event that an
addendum is issued. If a Bidder submits their bid prior to this or at any
time prior to the bid closing and an addendum/addenda is issued by the
Owner, the Bidding System shall WITHDRAW their Bid submission and
change their Bid submission to an INCOMPLETE STATUS (NOT
accepted by the Owner) and the Withdrawn Bid can be viewed by the
Bidder in the "MY BIDS" section of the Bidding System. The Proponent is
solely responsible to:
a) make any required adjustments to their Bid; and
b) acknowledge the addendum/addenda; and
C) Ensure the re -submitted Bid is RECEIVED by the Bidding System
no later than 2:00:00 p.m. (14:00:00 hours) local time, on the Bid
Closing Date.

NOTE: Additional company contacts are recommended for the reasons outlined
below:
Do not invite any additional contacts that you do not want to have access to
view, edit, submit and/or withdraw or who may be in direct competition for
example (a company may have two divisions that could compete for the same
Bid Opportunity).
You are strongly urged when creating or updating a Bidding System Vendor
account to add additional company contacts to create their own login to the
Bidding System. This will permit your invited contacts that have created their own
login to manage (register, submit, edit and withdraw) Bids which your Company
is a Registered Plan Taker for. In the event you are on vacation, or due to
illness, etc. these additional contacts may act on your Company's behalf and
have the authority to; receive addendum notifications from the Bidding System,
and where permitted by the terms and conditions of the Bid Call Document, to
submit Bids electronically through the Bidding System and/or withdraw and/or

If you are an invited company contact it is imperative that you create your login
from the link contained in the email invitation. Do NOT go directly to
Tillsonburg's Bid Opportunity website and create a separate vendor account.
5. Bid Completion
The Town of Tillsonburg (the Owner) shall only accept and receive
Electronic Proposal submissions through the Owner's bidding system,
hereafter called the "Bidding System".
6. Bid Submission
6.1 All Bidders shall have a bidding System Vendor account and be
registered as a Plan Taker for this Bid opportunity, which will
enable the Bidder to download the bid document, to receive
Addenda/Addendum email notifications, download addendums and
to submit their bid electronically through the Bidding System.
6.2 The closina time shall be determined by the Biddina Svstem
Web Clock.
6.3 Bidders are cautioned that the timing of the submission is based on

6.4 The bidder acknowledges that all submitted bids shall become a
record belonging to the Town which makes them all subject to the
Municipal Freedom of Information and Protection Privacy Act,
R.S.O., Chapter M.56, as amended.
7. Bid Withdrawal
A Bidder may edit or withdrawl their Bid submission prior to the closing
time and date. However, the Bidder is solely responsible to ensure the re-
submitted bid is RECEIVED by the Bidding System no later than 2:00:00
p.m. (local time), on the Bid Closing Date.
8. Bid Expiry Period
Bids shall be irrevocable for a period of ninety (90) days from the date of
submission, after which period the bid expires.
9. Bid Openina and Evaluation
9.1 Bids will not be opened publicly. Bid submissions will be provided to
Council and therefore those bids will become a public document at
that time.
9.2 In the event that more than one bid is received from the same
bidder, only the last bid received will be considered.
9.3 The Town reserves the right to open the bid and negotiate with a
single bidder, in cases where only one bid is received, or to
negotiate with a bidder of the Town's choice, if all bids are over
budget or too high.
9.4 Should the Town receive no compliant bids, the Town, in its
discretion, may re -bid the Project or may negotiate a contract for
the whole or any part of the Project with a bidder which has
submitted a non-compliant bid.
9.5 In the event that two (2) or more compliant, equal bids are
submitted during a competitive bid process, the Town shall
determine the successful bidder by drawing a bidder's name, as
determined by the CAO.
10. Requests for Clarification
10.1 The Town may contact anyone or more bidders to request

11. Taxes
clarification or further information without any obligation to contact
other bidders. Such additional clarification shall be provided
promptly by the bidder to the Town. The Town may, but is not
obligated to, amend or revise the bid based on the clarification or
further information.
10.2 Requests for information shall not be construed as acceptance of a
bid
The Harmonized Sales Tax (HST) shall not be included in the bid price.
All other eligible taxes shall be included in the bid price. Any taxes or
increases to taxes announced prior to the date of the issuance of the Bid
Documents and scheduled to come into effect subsequent to it shall be
taken to be included in the bid price.
12. Award of Contract, Execution of the Contract & Documents to be Delivered
12.1 Bidders shall not issue or make any statements or news releases
concerning their bid, the bid process, the Town's evaluation of the
bids, or the Town's award or cancellation of the bid process without
the express written consent of the Town.
12.2 Prior to commencing the work, the bidder shall deliver to the Town:
a) Certified true copies of the insurance policies required by the
Bid Documents; and,
b) A current Clearance Certificate issued by the Workplace
Safety and Insurance Board.
12.3 The bidder shall execute the contract and deliver the executed
original to the Town within ten (10) business days of award
notification from the Town.
12.4 The bidder agrees that the Town shall not be deemed to be the
employer of the bidder nor its personnel under any circumstances
whatsoever.
13. Liabilitv
13.1 If a bidder breaches the "bid contract", including by failing to
execute the contract, for whatever reason, the bidder shall be liable
to pay to the Town, at the Town's election as follows:
a) The difference between the base bid prices of the breaching

bidder and the bidder who subsequently executes the
contract; or,
b) The amount set out in the bid bond or certified cheque; And
these amounts shall be considered liquidated damages, not
a penalty, and the bidder hereby acknowledges that these
amounts are a reasonable pre -estimate of damages which
will likely be suffered by the Town should a breach of the
bid contract" occur. The Town shall have the right to draw
upon the bid bond or certified cheque should a breach of the
bid contract" occur, irrespective of any other terms or
conditions set out in the bond.
13.2 A bidder, by submitting a bid, agrees that it will not claim damages,
by any means, in respect to any matter relating to the contract or
bidding process in excess of an amount equivalent to the
reasonable costs incurred by the bidder in preparing its bid and
waives any claim for loss of profits if no contract is made with the
bidder.
14. Disputes
In the event of a dispute arising in connection with this bid process that cannot be
resolved using the complaint resolution process, as stated in "Appendix B" of the
Town's Purchasing Bylaw 3967 including, without limitation, a dispute concerning the
existing of the "bid contract" or a breach of the "bid contract", or a dispute as to whether
the bid of any bidder was submitted on time or whether a bid is compliant, the Town
may refer the dispute to a confidential binding arbitration pursuant to the Arbitration Act,
1991, as amended, before a single arbitrator with knowledge of procurement/bidding
law. In the event that the Town refers the dispute to arbitration, the bidder agrees that it
is bound to arbitrate such dispute with the Town. Unless the Town shall refer such
dispute to binding arbitration, there shall be no arbitration of such dispute.
15. Blackout Period
The Blackout Period begins when the Bid Call Document is issued and ends when the
agreement is signed by the Owner and the selected Bidder. During the Blackout
Period, Bidders must conduct all communication about the procurement only with the
Procurement Representative stated in this Bid Call Document.
Any communication initiated by a Bidder to elected officials or staff of the Owner other
than to the Procurement staff during the "Blackout Period" may be grounds for
disqualifying the offending Bidder from consideration for contract award.
During the competitive period (Blackout Period) Bidders may submit an emailed written
question to the Procurement representative. The Procurement representative may issue

a written addendum to provide clarification or modification to the Bid Call
Document. The addendum will be published on the Owner's Bid Opportunities website.
16. Lobbvinq Prohibited
If any director, officer, employee, agent or other representative of a Bidder, including
any other parties that may be involved in a joint venture, consortium or similar business
relationship with the Bidder, makes, from the time the Bid Documents are released until
a contract is executed, any representation or solicitation to any elected representative or
employee or agent of the Owner including project consultants, or to the media, with
respect to the Bidder's Bid, the Owner will be entitled to reject the Bid. This requirement
does not extend to any public deputations.
The Town reserves the sole and exclusive right to accept or reject all or any proposals
which may be received as result of this call. No contract is hereby intended or offered
by the request for proposals.
17. Alternative or Green Products
Prior to the stated deadline for questions to the Procurement Representative, Bidders
may submit to the Procurement Representative via email, alternative or green
product(s) literature for consideration by the Owner; provided the alternative or green
product(s) meet the Owner's minimum specifications. The product information
submitted by the Bidder should include manufacturer name, model, specification sheet,
a similar scope reference project and all other applicable information. The Owner will
issue an Addendum to all Bidders for each alternative or green product that is approved
by the Owner as acceptable for the solicitation. The Owner shall be the sole judge in
determining if an alternative or green product is acceptable. All Bidders may bid on the
original product and/or on any alternative or green products which have been approved
by the Owner through an Addendum. Bids which submit an alternative or green
product(s) that has not received written approval from the Owner by addendum prior to
the Closing Date
18. Claims or Litiqation
18.1 The Town shall not consider bids received from parties with whom
the Town is in litigation, or pending litigation, unless approval
allowing such consideration is obtained by the bidder from the
Council of the Town prior to the close of bidding.
18.2 Bids which are not considered pursuant to the aforementioned
policy shall be returned to the bidder and no contract in regard to

the bid process shall have been created as between the bidder and
the Town.
19. Representation & Warranty
The bidder represents and warrants that its bid is compliant with the
terms set out in the Bid Documents. The bidder acknowledges that the
Town is relying on this representation and warranty. In the event that the
bidder's bid is accepted by the Town and the bid is held by a Court of
competent jurisdiction to be non-compliant with the terms set out in the
Bid Documents in a proceeding commenced by another bidder (the
Claimant"), the bidder will indemnify the Town for any award of
damages. Howsoever characterized, that are payable to the Claimant as
well as for the Town's actual legal expense, including all legal fees and
disbursements as billed to the Town.
20. Freedom of Information
The bidder acknowledges that any bid submitted shall become a record
belonging to the Town and therefore is subject to the Municipal Freedom of
Information and Protection of Privacy Act, R.S.O. 1990, c M.56, as
amended. (MFIPPA)
MFIPPA provides that an individual, businesses and other organizations have a
legal right to request records held by the Town, subject to specific
limitations. The bidder should be aware that it is possible that any records
provided to the Town, including but not limited to, pricing, technical
specifications, drawings, plans, audio visual materials or information about staff,
parties to the bid or suppliers could be requested under this law. If the bidder
believes that all or part of the bid should be protected from release, the
relevant parts should be clearly marked as confidential. Please note that
this will not automatically protect the submission from release, but it will assist
the Town in making a determination on release if a request is made. The Town
will use its best efforts not to disclose any information so marked confidential but
shall not be liable to a Proponent where information is disclosed by virtue of an
order of the Privacy Commissioner or otherwise as required by law.

GENERAL CONDITIONS AND SPECIFICATIONS
1. General
1.1. Background
1.1.1. The Tillsonburg Community Centre, located in Tillsonburg, ON, has two ice rinks. Other
facilities on site include a gym and a pool. This tender encompasses the automation
upgrade/installation for a Micro Co -Gen system to provide back-up power and recover
waste heat, demand control ventilation in high demand areas, pool pump controls
upgrades, and the tie-ins and capacity for an additional outdoor ice sheet in the future.
1.1.2. This contractual form of a tender agreement between the owner and contractor. Arising
from this tender shall be a CCDC 2-2008 stipulated price contract.
1.1.3. The key functional objectives of this contract are to:
1 Install a new programmable control system to automate pumps and valves
associated with the new Co -Gen heat recovery system in collaboration with the
existing heating equipment in order to provide building space heating and domestic
hot water loads.
2 Install a new programmable control system to automate pump and VFD associated
with pool water filtration.
3 Install new programmable control systems to automate fans and VFDs associated
with the air handling units in each of the following zones:
1 Pool zone
2 Pool dressing room zone
3 Arena dressing room zone
4 Arena concourse zone
4 Implement demand control ventilation in high demand areas using CO2 sensors
5 Improve pool dehumidification logic to use outdoor air for dehumidification
whenever possible.
6 Provide the tie-ins and additional capacity required for the future expansion an
additional outdoor ice sheet.
1.1.4. The scope of work for the contractor sought by this tender comprises all required work
required for a fully -functional turn -key system.
1.2. Mandatory Site Visits
1.2.1. Contractor walkthroughs will be scheduled for June 13th, 2017 at 10:00 AM (Eastern
Time). Interested parties are requested to email Ikirwin@tillsonburg.ca to indicate their
intention to participate in the mandatory contractor walk though. No allowance will be
given for any oversight or misjudgment on the part of the bidder in the absence of this
site visit.
1.2.2. In the event that no potential bidders or only one potential bidder attends the site visit,
the Town, at their sole discretion, reserves the right to re -schedule a second visit, to
ensure competitive submissions are received.
1.3. Drawings Package
1.3.1. A set of drawings is issued with the RFT2017-012.

1.4. Related Documents
1.4.1. All work of this Division shall be coordinated and provided by the Contractor.
1.4.2. The work of this Division shall be as required by the Specifications and Schematic.
1.4.3. If the Contractor believes there are conflicts or missing information in the project
documents, the Contractor shall promptly request clarification and instruction from the
design team.

1.6. Definitions
1.6.1. Automation System Project: The intent of this project to provide modifications to
ventilation to provide demand control ventilation (DCV) and reduced fan consumption
using CO2 sensors and variable frequency drives (VFDs) on fans. Automate the waste
heat recovery from a newly installed micro co -gen system to heat loads throughout the
building while keeping existing heating infrastructure. Install controls to adjust rate of
filtration of pool water based on measurements from a new turbidity sensor, with a
minimum speed to exceed minimum required filtration levels. The project comprises all
fully operational and functional elements, including equipment, software, and
programming. This includes the storing and recording of temperature, pressure and
power data, as well as the control of automated valves, pumps and variable speed
pumps as per provided sequences.
1.6.2. Contractor: The single Contractor to provide the work of this tender. This Contractor
shall be the primary manufacturer, installer, commissioner and ongoing service provider
for the all required work. This party shall be the contractor signatory to the tender
contract, and shall take on all responsibilities therein.
1.6.3. The Town: For the specifications herein the Town of Tillsonburg shall be referred to as
The Town.
1.6.4. The Consultant: For the specifications herein, the owner's consultant, I.B. Storey Inc.,
shall be referred to as the Consultant.
1.7. Automation System Project Description
1.7.1. The removal and disposal of existing, and design, supply, and installation of equipment,
testing, start-up and warranty of the Automation System Project as outlined.
1.7.2. The intent of the automation system project is that minimal interruption of service will
occur. This contractor must be able to demonstrate to the Town of Tillsonburg that a
proper plan be implemented such that the allotted time for installation is satisfied.

1.7.3. Supply and install automation system components as outlined in section 2 of this tender,
including all necessary sensors, relays and wiring to provide a complete working
automation system.
1.7.4. The work shall consist of the provision of all labor, materials, tools, equipment, testing,
commissioning, training services, transportation, shipping, handling, administration,
supervision, management, insurance, temporary protection, cleaning, removal,
installation, cutting and patching, warranties, services, and items, even though these
may not be specifically mentioned in this document which are required for the
complete, fully functional and commissioned automation systems.
1.7.5. Provide a complete, neat and workmanlike installation. The labour used to carry out the
work shall be skilled, experienced, trained, and familiar with the specific equipment,
software, standards and configurations to be provided for this project.
1.7.6. Manage and coordinate the work in a timely manner in consideration of the Project
schedules. Coordinate with the associated work of other trades so as to not impede or
delay the work of associated trades.
1.8. Quality Assurance
1.8.1. General
1 The Contractor shall be regularly engaged in the engineering, programming,
installation and service of automation systems in the province of Ontario.
2 The Contractor shall have a branch facility within a four (4) hour drive from the site
location supplying complete maintenance and support services on a 24 hour, 7 -
days -a -week basis.
3 The system components included in this upgrade shall consist of the products from
manufacturers regularly engaged in the production of automation equipment, and
shall be the manufacturer's latest standard of design at the time of bid.
1.8.2. Workplace Safety and Hazardous Materials
1 Provide a safety program in compliance with the Contract Documents.
2 The Contractor shall have a corporately certified comprehensive Safety certification
Manual and a designated Safety Supervisor forthe Project.
3 The Contractor and its employees and sub -trades comply with federal, provincial
and local safety regulations.
4 The Contractor shall ensure that all subcontractors and employees have written
safety programs in place that covers their scope of work, and that their employees
receive the training required by the Health and Safety Commission in the
jurisdiction for at least each topic listed in the Safety Certification Manual.
5 Hazards created by the Contractor or its subcontractors shall be eliminated before
any further work proceeds.
6 Hazards observed but not created by the Contractor or its subcontractors shall be
reported to either the General Contractor or the Owner within the same day. The
Contractor shall be required to avoid the hazard area until the hazard has been
eliminated.

7 The Contractor shall sign and date a safety certification form prior to any work
being performed, stating that the Contractors' company is in full compliance with
the Project safety requirements.
8 The Contractor's safety program shall include written policy and arrangements for
the handling, storage and management of all hazardous materials to be used in the
work in compliance with the requirements of the Authorities Having Jurisdiction at
the Project site.
9 The Contractor's employees and subcontractor's staff shall have received training
as applicable in the use of hazardous materials and shall govern their actions
accordingly.
1.8.3. Quality Management Program
Designate a competent and experienced employee to provide Project Management. The
designated Project Manager shall be empowered to make technical, scheduling and
related decisions on behalf of the Contractor. At minimum, the Project Manager shall:
1 Manage the scheduling of the work to ensure that adequate materials, labor and
other resources are available as needed.
2 Manage the financial aspects of the Contract.
3 Coordinate as necessary with other trades.
4 Be responsible for the work and actions of the workforce on site.
1.9. References
1.9.1. The Contractor shall fully comply with all codes and standards applicable to this type of
work, including;
1 Canadian Electric Code (CEC) and applicable local Electric Code.
2 Underwriters Laboratories (UL) listing and labels.
3 American National Standards Institute (ANSI).
4 Occupational Safety and Health Administration (OSHA).
5 American Society for Testing and Materials (ASTM).

1.9.2. In the case of conflicts or discrepancies, the more stringent regulation shall apply.
1.9.3. All work shall meet the approval of the Authorities Having Jurisdiction at the project site.
1.10. Record Documentation
1.10.1. Provide three (3) paper copies and one (1) electronic copy (on a USB flash drive) of
operating and maintenance manuals for all installed equipment pertaining to this
contract, including as -built drawings.
1.10.2. After completion of all tests and adjustments, the contractor shall provide a copy of all
as -built information and product data.
1.10.3. On Site documents: Maintain at job site, one copy each of the following (but is not
limited to):
1 Contract drawings.

1.10.5. As -built drawings must each be stamped by a professional engineer licensed in the
province of Ontario and shall contain, as a minimum, the following;
1 Automation system equipment layout and schedule
2 Electrical distribution schematics and layout drawing
3 Automation System points and sequence of operation
4 All wiring schematics
5 All architectural and structural renovation plans.
1.10.6. Prepare an index of all submittals and shop drawings for the installation. Index shall
include a shop drawing identification number, Contract Documents reference and item
description.
1.10.7. The contractor shall correct any errors or omissions noted in the first review.
1.10.8. Within two (2) weeks of contract award the contractor shall provide a schedule, in a
Gantt Chart to the owner and the consultant, which summarizes all construction
timelines and milestone dates. Including, but not limited to:
1 Shop drawing submittal and review time;
2 Equipment order dates;
3 Lead time;
4 Site construction milestones (demolition, package placement, etc.)
5 On-site completion;
6 System start-up;
7 Substantial completion;
8 Training and owner turnover.

1.11.1. Standard Material and Labor Warranty:
1 Provide a one-year labor and material warranty on the all systems.
2 If within twelve (12) months from the date of acceptance of a product, upon
written notice from the owner, it is found to be defective in operation,
workmanship or materials, it shall be replaced, repaired or adjusted at the option of
the Contractor at the cost of the Contractor.
3 Maintain an adequate supply of materials within a four (4) hour drive from the site
location such that replacement of key parts and labor support, including
programming. Warranty work shall be done during Contractor's normal business
hours. The contractor shall be required to provide repair and maintenance services
24 hours a day, 7 days a week for a period of four (4) years from the date of
acceptance. The first year of the maintenance and warranty shall be provided at no
additional cost to the owner.

2.2. Additional Contractor Items
2.2.1. Cutting, patching, sleeving, and sealing of floor, wall and ceiling necessary for all delivery
and installation of automation system cabling and electrical conduits shall be provided
by the contractor.
2.2.2. The contractor shall install dust enclosures while performing work in occupied facility
zones, which generates large amounts of particulates.
2.2.3. The contractor shall carry the cost of all wiring and adaptors required to make a fully
functional system as outlined in the specification herein, even if not specifically
mentioned.
2.2.4. All necessary permits and inspections are the responsibility of the contractor.
2.2.5. Site cleanup and removal of debris is the responsibility of the contractor.
2.2.6. Equipment layout shall allow adequate clearances for cleaning and maintenance
purposes. The proposed clearances must be documented on a Clearance and Interface
drawing and submitted to the Town of Tillsonburg and I.B. Storey Inc. for comment,
prior to commencing work.
2.2.7. Any necessary structural modifications, cutting and patching, removal and disposal of
existing equipment will be the responsibility of the contractor.
2.2.8. Contractor shall seal all building penetrations created/modified under the scope of this
contract with a watertight sealant; the penetration shall be painted to match the
surrounding building finishes.
2.2.9. All equipment shall be installed such that it meets or exceeds the manufacturer's
recommended installation practices and requirements.
2.2.10. Prior to commencing work the contractor shall determine the location of any utility
entrances (power, water, sewer), which may interfere with carrying out this work. This
shall be done in conjunction with the utility companies, and shall be at the cost of the
contractor.
2.2.11. The contractor shall install analog thermometers on the inlets and outlets of all heat
exchangers, and pressure gauges on all pumps. Pressure gauges are to be dial type and
temperature gauges are linear scale type.
2.2.12. Contractor to provide all electrical connections and entrances required for a functional
upgrade.
2.2.13. Contractor is to provide all power wiring per this contract. 24V wiring is required for
automation components.

3. Execution
3.1. Contractor Requirements Overview
As part of this Tender, the contractor is responsible for, but not limited to the following:
3.1.1. Supply and installation of all components described in Section 2.
3.1.2. Relocation of any existing equipment required to allow for new components.
3.1.3. Obtaining and following all applicable/required permits and inspections.
3.2. Training
3.2.1. The contractor shall provide the following training services:
1 Two separate one (1) day on-site training sessions shall be provided by a system
technician who is fully knowledgeable of the specific installation details of the
project. This orientation shall, at a minimum, consist of a review of the project as -
built drawings, the control system layout, user -defined options, naming
conventions, and an overview of the functionality of all components.
Troubleshooting and issue detection shall also be covered through this Training.
3.3. Commissioning
3.3.1. Upon completion of the work, the contractor shall start up and calibrate the system to
ensure all installed components start, and are installed properly.
3.3.2. The contractor shall provide the Owner's Engineer with a Start Up checklist four (4)
weeks prior to project completion for review and approval. The checklist shall include,
but is not limited to, the following elements:
1 Equipment Status
2 Time of day
3 Inlet temperatures
4 Outlet temperatures
5 Liquid flow rates
6 CO2 Levels
7 Humidity Levels
8 Turbidity Readings
9 Valve positions
10 Power readings including: Power draw, voltage, current, power factor
3.3.3. An initial equipment check shall occur three (3) days prior to start up to ensure
functionality of all components. Prior to this check, all equipment shall be visually
inspected.
3.3.4. Once startup has occurred, the Startup Checklist shall be completed. The checklist shall
be completed when the system is under load and at steady state to ensure all
equipment is running. The contractor shall be immediately available in the hours
following start up to provide start up services and to rectify issues immediately as they
arise.
3.3.5. After substantial completion independent performance commissioning shall be
completed by the consultant and a deficiency list shall be provided to the contractor.
Following receipt of the deficiency list the contractor shall provide weekly updates in

writing of the completion status of the deficiencies, including proof of completion. After
completion of all deficiencies the consultant shall perform one final inspection, any
requisite subsequent inspections shall be at the cost of the contractor ($950 per day per

4. Tender Submission Content
4.1. Submission Content
The Contractor's Submission shall consist of the following items, the items are intended to
provide clarity of the organizations ability to do the work, as well as the firm's understanding of
the requirements of this project.
A. Summary/Cover Letter
Provide a short letter from the key person who is submitting the bid on behalf of the
company which confirms the major project scope intent. This section must summarize the
Contractor's plan to deliver the Automation System Project on-time and on -budget.
Confirmation that the Contractors' key personnel will be available throughout the duration
of this contract will also be required in this section.
Additionally the Bidders should provide a "filled in" check sheet (see end of section) to
ensure that they have provided all requested information.
B. Project Team Information

4.3. Acceptance or Non -Acceptance of Proposals
4.3.1. Contractors are advised that the Town of Tillsonburg reserves the right to accept any
proposal or reject all. Proposals shall be irrevocable and remain open for acceptance by
the Town for a period of ninety (90) days from the proposal closing date. The lowest
bid) or any proposal shall not necessarily be accepted.
4.3.2. The Town may refuse to consider a proposal should any of the following conditions
exist:
1 A proposal is not submitted as required (e.g. proposal submitted after the due time
and date, required information not provided, etc.)
2 All addenda are not acknowledged in the Submission.
3 Any other defect which, in the opinion of the Town of Tillsonburg brings the validity
of the proposal into question.
4.3.3. In order to obtain the most advantageous offer for the Town of Tillsonburg, it reserves
the right in its sole discretion:
1 To waive irregularities and/or minor non-compliance by any Contractor with the
requirements of this Tender,
2 To request clarification and/or further information from one or more Contractor
after closing without obligation to offer the same opportunity to all Contractors,
3 To enter into negotiations with one or more Contractors without obligation to
negotiate with, or, offer the same opportunity to, all Contractors,
4 If negotiations with a Successful Contractor do not result in a Contract Agreement,
to enter into negotiations with any other Contractor regardless of such Contractor's
evaluation score, or to discontinue negotiations and terminate this Tender, at its
option.
4.3.4. Contractors are advised however to submit a complete offer as their proposal. Any
waiver, clarification or negotiation will not be considered as an opportunity for
Contractors to correct errors in their proposal.
4.3.5. It is understood and accepted by the Contractor that all decisions on whether a Proposal
satisfies the Mandatory Requirements and meets, or to what degree it meets, the stated
evaluation criteria are the judgment of The Town in its sole discretion.
4.3.6. The Town is not obligated to award any contract as a result of the tender and reserves
the right in its sole discretion to cancel this tender process at any time before or after
closing without providing reasons for such cancellation.
4.3.7. The Town reserves the right to negotiate provisions in addition to those stipulated in
this tender or proposed by the Successful Contractor.

S. Instructions to Contractor and Contract Compliance
5.1. General Information
This Standard Construction Document (CCDC-2 2008) for a Stipulated Price Contract shall be
used as the form of agreement between Owner and Contractor. The general conditions set
forth in CCDC-2 are to be used to same extent as if written out in full herein. These conditions
are to be made part of the requirements for this Design -Build Project unless otherwise
amended in this document. The supplementary conditions presented in this document are to
be provided in addition to the general conditions in CCDC-2 and will govern over any applicable
General Conditions in CCDC-2.
5.2. Supplementary Conditions
5.2.1. EXAMINATION OF SITE
1 All bidders submitting tenders for this work shall first examine the site and all
conditions thereon and/or therein. All tenders shall take into consideration all such
conditions as may affect the work under the Contract.
2 No extra payment will be made to the Contractor, above the Contract Price, for
costs resultant from failure to determine the conditions that affect the work.
5.2.2. DOCUMENT INTERPRETATION
1 Neither Owner nor Consultant will be responsible for any verbal instructions. All
instructions during the tender period will be issued in the form of Addendum.
5.2.3. BID GUARANTEES
1 Tenders must be accompanied by a Bid Bond issued by a recognized bonding
company or a certified cheque on a bank to which the Canadian Bank Act applies
in an amount not less than 10% of the bid amount. The bid bond shall be made
payable to the Town of Tillsonburg. The Contractor's bid bond must be
accompanied by a Surety's Letter of Consent indicating the willingness of the Surety
to provide a Performance Bond and a Labour and Material Payment Bond, in favor
of the Owner, each in the amount of 100% of the bid amount.
The Bid Bond or certified cheque will guarantee that the Bidder will not withdraw
the bid for the period indicated on the Tender Form, following the scheduled
closing time of the receipt of bids; and that, the bidder will enter into a formal
agreement with the Owner in accordance with the agreement included as part of
the contract documents and that the required Bonds or certified cheque as
Contract Security will be given; and that in the event of withdrawal of said bid
within said period, or the failure to enter into said Agreement and give said Bonds
or certified cheque within ten (10) days after notice of the acceptance of the bid,
the Bidder shall be liable to the Owner for the full amount of the bid guarantee as
representing the liquidating damages to the Owner on account of the default of the
Bidder in any particular hereof and shall not be construed as a penalty.

5.2.4. CONTRACT SECURITY
1 If in accordance with the Bid Guarantee Requirements the successful Contractor
has submitted a Bid Bond as a bid guarantee, this Contractor must deliver to the
Owner an executed Performance Bond and Labour and Material Payment Bond,
each in a form acceptable to the Owner, from a company which is acceptable to the
Owner, and each in an amount equal to 100% of the total amount payable by the
Owner to the Contractor for the performance of the work of the Contract, (i.e.
including all Value Added taxes) as security for the faithful performance of the
Contract Work.
2 If in accordance with the Bid Guarantee requirements the successful Contractor has
used a certified cheque as a bid guarantee, the cheque will be deposited in a safety
deposit box in a bank to which the Canada Bank Act applies and, subject the
progress of the Work being acceptable to the Owner and Consultant, will be held
until the date of Substantial Performance for the Contract, as defined under
Definition 20 of CCDC-2 2008, at which time it will be returned to the Contractor,
without interest.
3 Should all or part of the work of the Contract not be acceptable to the Owner and
Consultant, and the Contractor refuses or fails to replace, or make -good
unacceptable Work to the Owner's and the Consultant's satisfaction and the Owner
subsequently declare the Contractor in Default, the Owner shall have the right to
cash the cheque and retain all or part of the monies, as determined by the
Consultant, to be fair and reasonable recompense for the costs incurred by the
Owner to replace or repair the unacceptable work and/or complete the work,
including ancillary costs incurred by the Owner.
5.2.5. CONDITIONS OF WORK AND EMPLOYMENT IN ONTARIO
1 All Construction Companies and Contractors and Subcontractors submitting tenders
for this work, or a portion thereof, are advised, in their own interest, to contact the

Construction Association of Ontario, the accredited association for the commercial
and industrial sectors of the construction industry, to enquire and determine the
terms and conditions of work and employment in Tillsonburg.
2 The Company awarded this tender will be required to provide proof that their
Company complies with all the provisions of the Ontario Occupational Health and
Safety Act as well as the Workplace health, safety, and Compensation Act. During
the process of contracted work, Companies will be required on the request of the
Town to provide written verification that their work is in compliance.
5.2.6. LIABILITY INSURANCE, INDEMNIFICATION AND HOLD HARMLESS
1 The Contractor shall take out and keep in force until the date of acceptance of the
entire work the following policies of insurance issued by an Insurer acceptable to
the Owner.
2 The contractor shall provide to the contract administrator, proof of said insurance
with the tender submission. The owner shall be listed as an additional insured and
held harmless with respect to any actions or operations of the contractor. The
contractor shall retain insurance policies in the following amounts:
1 Comprehensive General Liability of $5,000,000 per occurrence.
2 Automotive insurance for all corporate vehicles (or fleet insurance policy) with
coverage of at least $2,000,000.
5.2.7. SUBCONTRACT WORK
1 Contractor is to ensure that all subcontractors and sub -trades understand the full
extent of their responsibilities in order to complete the entire work of the project.
Subcontract work may appear in various Sections of Specifications and on various
Drawings.
5.2.8. TIMING REQUIREMENTS
The contractor shall be required to achieve all milestone dates listed. These dates are for
reference and planning purposes only, and can be adjusted in consultation with the
Town and Consultant.
1 Project Milestones:
1 Submittals submitted —five (5) business days after contractor award.
2 Ordering Long -Lead Items — one (1) business day after submittal approval.
3 On-site Construction Start —August 20t', 2018.
5.2.9. SITE ASSESSMENT
1 Visit project site and surrounding area before submitting Tender at the date
provided in this Tender.
2 All Bidders must visit the project site and Tender should reflect any conditions that
may affect their work.
5.2.10. RESPONSIBILITY
1 The Contractor shall be responsible to be fully familiar with the complete
documents and shall include in his bid those items which are named, implied, or
traditionally a part of the general contract work.

5.2.11. WARRANTY AND GUARANTEE
1 The Contractor shall be required to guarantee the work of this Contract for a period
of twelve months after the Owner's acceptance of work, against improper of
defective materials and workmanship, and shall repair and make good at his own
expense any damage to the building and contents though any of the above causes
during this period. Any contract omissions and/or deficiencies to the Contractor
within twelve months after the acceptance of the work shall be made good by the
Contractor at his own expense.
5.2.12. CODES AND STANDARDS
1 Perform work in accordance with the National Building Code of Canada, National
Fire Code of Canada, Ontario Occupational Health and Safety Act, Canada Labour
Code Part II, and any other code of provincial or local application including all
amendments, provided that in any case of conflict or discrepancy, the more
stringent requirements shall apply.
2 Materials and workmanship must meet or exceed requirements of specified
standards, codes and reference documents.
3 The latest editions of referenced standards, codes and documents will apply.
5.2.13. WORK SCHEDULE
1 A schedule is to be produced within 10 business days after Contract award showing
anticipated progress stages and final completion of the work within the time period
given.
2 Work progress will be reviewed by the Consultant and the schedule updated in
conjunction with the Contractor.
3 Works shall commence within 4 weeks of Contract award.
4 Work will not be undertaken on Saturdays, Sundays, or statutory holidays unless
permitted by the Engineer.
5.2.14. EXISTING SERVICES
1 Where works involves breaking into or connecting to existing services, carry out
work at times directed by governing authorities, with minimum of disturbance to
tenant operations.
2 Before commencing work, establish location and extent of service lines in area of
work and notify Engineer of findings.
3 Make all required connections to existing services; carry out such operations at the
times directed by governing authorities, with minimum of disturbance to building
tenants operations.
4 Submit a schedule to and obtain approval from the Town for any shut -down or
closure of active services or facility. This includes disconnection of electrical power
and communication services to tenant's operational areas. Adhere to approved
schedule and provide notice to affected parties, locals authorities and public
utilities.

5 Where unknown services are encountered, immediately advise Engineer and
confirm findings in writing.
6 Protect, relocate or maintain any existing active services as required. When inactive
services are encountered, cap off in manner approved by authorities having
jurisdiction over service.
7 Record locations of maintained, re-routed and abandoned service lines. Include on
the record of drawings.
5.2.15. COST BREAKDOWN
1 Provide a minimum fourteen (14) days before submitting first application for
payment, a Schedule of Values, aggregating the Total Contract Price. After approval
by the Consultant the Schedule of Values will be used as a basis for the application
for progress payments.
5.2.16. CONTRACTOR'S USE OF SITE
1 Do not unreasonably encumber site with materials or equipment.
2 Move stored products or equipment, which interfere with operations of Consultant
of other Contractors.
3 Contain work to those areas designated for renovation.
5.3. Amendments
5.3.1. GENERAL
1 The Definitions and General Conditions governing the Work shall be those specified
in CCDC-2 2008 unless otherwise stated in the following amendments to those
provisions, and shall apply to all Sections of this Specification.
2 Where any Article or portion of Article conflicts with the Laws of the Province
concerned, such Article or portion of the Article is hereby stricken.
5.3.2. DEFINITIONS
1 The following amendments shall apply to the Definitions of CCDC-2 2008.
2 Paragraph 4 Consultant add the following:
The Consultant shall be the Owner's Prime Consultant, I.B. Storey Inc. — Professional
Energy Solutions, 151 Great George Street, Suite 302, Charlottetown, PE.

All dealings with the Subcontractor shall be through the medium of the Contractor,
who will be responsible for the proper coordination and execution of the
Subcontractors work.

This shall mean the designated engineering representative(s) of the Consultant.
5.3.3. CONTROL OF THE WORK
1 Paragraph 3.1.1— add new Sub -Clause 3.1.1.1 as follows:
The Contractor shall co-ordinate his own work and the work of all Subcontractors so
as to facilitate and expedite the progress of the work.

It is the responsibility of the Contractor to immediately notify the Consultant of
signs of distress or any other indications of actual or potential damage to the
contract work, without regard to his awareness of any errors, inconsistencies or
omissions in the Contract Documents.
3 Add new Paragraph 3.1.3 as follows:
Before ordering any materials or doing any Work Contractor shall verify all
compensation has been allowed on account of differences between actual site
dimensions and the measurements indicated on the drawings. Any difference,
which may be found, shall be submitted to the Consultant for consideration before
proceeding with the work.
4 Add new Paragraph 3.1.4 as follows:
The Contractor will be responsible for effecting the removal from the site of any
trade, firm, group or person who is delaying the Work, or whose Work is
unsatisfactory. The contractor will arrange for other competent trades people to
complete the Work at no expense to the Owner.
5.3.4. CASH ALLOWANCES

5.3.6. APPLICATIONS FOR PROGRESS PAYMENT
1 Payment shall be less any holdback release, which may have been made in
accordance with the specific terms of this Agreement as dictated by GC 5.6. Any
such holdback release by the Owner to the Contractor shall be a payment to the
Contractor in trust for the specific Subcontractor in respect of whose work the
release is made.
2 Paragraph 5.2.6 — Add new sentences as follows:
Authorized Change Orders shall be listed on the application for payment indication
the amount claimed against each to date of claim.
3 Paragraph 5.2.7 —Add new sentences as follows:
Payment for materials will be considered only if such materials are properly stored
on site in a secure enclosure acceptable to the Consultant. Security of materials so
stored is the responsibility of the Contractor.
4 Add new Paragraph 5.2.8 as follows:
With the second and all subsequent applications for payment the Contractor shall
include a statutory declaration form CCDC 9B, or other similar form acceptable to
the Consultant, declaring that all labour and materials entering into the work,
including Subcontractors, covered by the previous application, have been paid.
With application for release of lien holdback, the Contract shall include a statutory
declaration form CCDC 9A, or other similar form acceptable to the Consultant.
5.3.7. PROGRESS PAYMENT
1 Paragraph 5.3.1—Add new Sentences as follows:

When any claim for payment during the course of construction includes completed
or partially completed Work, which in the opinion of the Consultant is defective or
otherwise unacceptable, a sum of monies determined by the Consultant to be ten
10) times the value of the defective or unacceptable Work, or ten (10) times the
value of the work required to correct the defect or an amount solely at the
Consultants discretion, will be withheld from the claim.
2 Paragraph 5.3.1— Add new Sentences as follows:
1 Deficiency monies may be held back at any time during the course of the
project for Work deemed incomplete or unacceptable.
2 It remains the Contractor's responsibility to undertake his own deficiency
reviews and ensure the entire Work conforms to the Contract including quality,
completeness and commissioning.
3 Two final deficiency reviews will be conducted by the Consultant. The first
review with the Owner and Contractor will identify any minor items which may
remain outstanding, and the second review will be charged at cost to the
Contractor. The invoice for the additional reviews will be submitted to the
Owner with a corresponding amount deducted from the Contractor's progress
payment.
5.3.8. FINAL PAYMENT
1 Paragraph 5.7.2 — Add new Sentences as follows:
Any delay in delivering the required Project Record Drawings (As -Built drawings) as
described in and/or Material & Equipment Information as described will have the
effect of delaying the final payment to the Contractor until the Consultant has
received them complete and in good condition
5.3.9. CHANGE ORDER

The method of adjustment or an amount of adjustment for the Contract Price and
of adjustment in the Contract Time for a Change Order shall be the same as for a
Change Directive as described under GC6.3 Change Directive.
5.4. Disclaimer

comprehensive information on which to prepare their submission, the Town of Tillsonburg, in
conjunction with 1.13 Storey Inc., accepts no responsibility for any omissions or errors on content

Instructions to Bidders Section 14. Disputes has been amended as
follows:
14. Disputes
PROCESS FOR COMPLAINT RESOLUTION
The following procedure shall apply to the conduct of Complaint Resolutions by the
Town of Tillsonburg.
1. An unsuccessful Supplier shall request a meeting with the Department Manager
and the Director. Such request will be in writing and shall (i) provide a detailed
statement of the legal and factual grounds of the protest, including copies of
relevant documents, and (ii) identify the form of relief requested.
2. Where, after a meeting with the Department Manager and the Director, the
Supplier is satisfied that its concerns have been addressed and that the
purchasing process was conducted in a fair and equitable manner, no further
action shall be required. Documentation in respect of the protest in question shall
be maintained by the Buyer(s) for future reference.
S. Where, after a meeting between the Supplier, the Department Manager and the
Director, it is concluded that the purchasing process was materially flawed, for
any reason, the Director shall issue a report to the Chief Administration Officer
for his approval recommending corrective action.
4. Where, after a meeting between the Supplier, the Department Manager and the
Director, the parties fail to achieve a mutually satisfactory resolution, the Supplier
may request an opportunity to present its case to the Chief Administration
Officer, provided that the supplier's request is in writing.
5. In the event of a dispute arising in connection with this bid process that cannot
be resolved with the above "complaint resolution process" including, without
limitation, a dispute concerning the existing of the "bid contract" or a breach of
the "bid contract", or a dispute as to whether the bid of any bidder was submitted
on time or whether a bid is compliant, the Town may refer the dispute to a
confidential binding arbitration pursuant to the Arbitration Act, 1991, as amended,
before a single arbitrator with knowledge of procurement/bidding law. In the
event that the Town refers the dispute to arbitration, the bidder agrees that it is
bound to arbitrate such dispute with the Town. Unless the Town shall refer such
dispute to binding arbitration, there shall be no arbitration of such dispute.
