A BY-LAW to authorize a Memorandum of Agreement with the Tillsonburg Golf and Country
Club
WHEREAS The Town is desirous of entering into an agreement with the Tillsonburg Golf and
Country Club;
THEREFORE the Council of the Town of Tillsonburg enacts as follows:
1. THAT the attached agreement marked "Schedule "A" be included as part of this by-law
and incorporated herein;
2. THAT the Mayor and Clerk be hereby authorized to execute the attached agreement
marked as Schedule "A" on behalf of the Corporation of the Town of Tillsonburg.

MEMORANDUM OF AGREEMENT
THIS AGREEMENT made the��. - ` day of -,1,2007.
BETWEEN:
THE CORPORATION OF THE TOWN OF TILLSONBURG
hereinafter called the "TOWN"
- and -
TILLSONBURG GOLF AND COUNTRY CLUB
hereinafter called the "Club"
Whereas the Town has established a Letter of Intent with the Tillsonburg Golf and
Country Club dated December 20, 2005 attached here as Schedule "B".
Whereas the Town is willingto allow the development of a golf course on the lands
owned by the Town described as parts on Plan .
he Club would like to proceed with the development and begin construction of

the additional lands for the use of a Golf Course.
The parties agree to the following:
The Club Is allowed to enter onto the land and conduct works on the site to develop the
lands for the use of a golf course.
The Club and any of their contractors, sub -contractors or assigns will hold the Town of
r harmless from an liability due to the construction of additional golf course

The Club
and an of their contractors, sub -contractors or assigns will name the Town of
Tillsonburg specifically on an s ecificall insurance policies for the development of these

properties.
The Town and the Club agree that at the end of this construction period the Club will
lease the lands from the Town and that lease will incorporate clauses as outlined here and
will substantially be in the fon-n attached hereto as Schedule "A".
The Town agrees to cover the costs of the said construction should there be any legal
reasonprohibiting the town to enter into a lease as in Schedule "A".
The Town and the Club agree that at the time of the lease this Memorandum of
Agreement will be no longer valid and the lease will take its place.
