Chair Lamb called the meeting to Order at 8:00 a.m.
A. Adoption of Minutes
Moved by M. Stewart and Seconded by J. Petrie:
'That the minutes of the Board of Management for the Otter Valley
Utility Corridor and Recreation Trail under date of December 15,
1998, be adopted.'
Carried.
B. Business Arising From The Minutes
None.
C. Adoption of Agenda
Moved by J. Petrie and Seconded by M. Stewart:
'That the Agenda for the meeting of the Board of Management for the
Otter Valley Utility Corridor and Recreation Trail, be adopted.'
Carried.

E. Business Matters
1) Outstanding Municipal Financial Matters
D. Morris explained that the Municipality of Bayham would be
receiving an invoice from the Town of Tillsonburg with respect to
a tax rebate with the former Township of Bayham and a receipt from
Talisman as part of the operating agreement that was sent to them
in error.
2) Letter -Oxford County Board of Health
Letter dated November 20, 1998 from the Oxford County Board of
Health received by the Board of Management.
3) Resolution -Municipality of Bayham
Letter From Charles E. Buchanan
Resolution dated January 14, 1999 referring a letter dated December
22, 1998 from Charles E. Buchanan received by the Board of
Management.
4) Letter From Dave Mason, Councillor
Municipality of Bayham
Letter from Councillor Dave Mason, Municipality of Bayham received
by the Board of Management.
The Board of Management discussed setting a policy that would deal
with procedural matters, including attendance of Councillors from
the partner municipalities at closed sessions of the Board, of the
Board of Management.

F. Other Business
L. Buchner advised that D. Hoshal, Southern Snow Riders would like
to address the next Board of Management meeting. The Board directed
he be contacted at a later date and once the motorized issue had
been fully resolved.
The Board of Management discussed fundraising and it was decided
that this would be held in abeyance until permitted uses are
determined.
The Board of Management discussed signage of the Otter Trail and it
was decided to hold this matter in abeyance until permitted uses
are determined.
G. Executive Closed Session
Moved by Bob Stewart and Seconded by M. Stewart:
'That the Board of Management now move into Closed Session to
consider matters of potential litigation.'
Carried.
H. Adjournment and Next Meeting Date
Chair Lamb adjourned the meeting at 10:10 a.m and the next meeting
will be held in the Municipality of Bayham on Tuesday, March 2,
1999 at 8:00 a.m.

Dear Sam:
Please include the following on the next Trail Committee agenda.
Perhaps if we can get started with the trail at the south end we will be able to
show them that it can work. Also, the cost could be spread out.
I would also really appreciate it if you could keep me updated on happenings. All I
get from Bayham are the minutes of the committee meetings which could be a
month or more past.

Dear Trail Committee:
I implore you to move decisively and with positive determination to take action on
the development of the trail. It is the right thing to do.
Economically and socially, it is for the benefit of the residents of our two
municipalities. As has been mustrated in the recent past, you will not, ever, satisfy
everyone. However. as politicians, it is most important to act for the good of the
many. We live in the type of society where a few should not influence the
prosperity and the quality of life of the majority.
Indira Gandhi stated: "When you take a step forward you are bound to disturb
something".
I wish to suggest to the committee that it consider very carefully the development
of the Trail from Port Burwell to Vienna as soon as possible and preferably in time
for the coming tourist season.
I am making this recommendation for the following reasons:
(1) This can be a very manageable section with few adjacent landowners.
(2) It could be of significant economic advantage for Vienna and Port
Burwell.
(3) The distance is comfortable for most people to walk or cycle.
(4) It would be of distinct benefit to visitors to the provincial park who are
looking for something to do other than being on the beach.
(5) Beginning with this section would allow for the opportunity to develop,
try it out and gain experience in further development of more of the trail. It
could set the benchmark for the rest of the trail.
(6) It would provide the opportunity to design road crossings, signage and
a thematic approach for a particular section.
(7) Developing one section now will give the committee experience in the
management of the trail such as cleanup, supervision. necessary fencing
and fund raising methods. Millennium grants are presently available.
I would further recommend that this entire section be closed to motorized vehicles
due to the projected number of users including families from the provincial park.
When others can see that this section "works", further opposition to the rest of
the trail might lessen.
This could be the manageable beginning to the end of our problems.

RE: Unauthorized Removal of Dirt, Gravel & Fill
Date : February 24, 19999
It has been brought to my attention by Mr. Jim Long, a long time
user of the Otter Valley Trail that people are removing dirt,
gravel and fill from the Trail at Rokeby Road just outside the Town
of Tillsonburg.
This activity should be discouraged as there is a loss of property
and there is an unsafe condition created as a result of the removal
of the dirt, gravel and fill.
It is therefore recommended that the Board of Management requets
the Public Services Committee of the Town of Tillsonburg to
properly barricade and sign the area to prevent the unauthorized
removal of dirt, gravel and fill from the Otter Valley Trail at
Rokeby Road outside the Town of Tillsonburg.

1 would like to inform Council that Talisman bas decided not to proceed with the development of a natural gas
processing facility in the Port Burwell area. We have revised our plans and will make use of processing capacity
in existing Talisman facilities. This change in plans has the benefit to Talisman of being both more timely and
cost effective under present conditions i:ban •he proposed facility in the Port Burwell area.
We would like to thank Council for their as:.:stance and support of our project. Talisman shall inform the OMB
of our decision and will request that the Boo.id terminate our application before them.
Please consider this letter as notice that pursuant to Section 5 of the Cost Recovery Agreement dated October 19.
1998 Talisman will not be responsible for any costs incurred after this date.

SUBJECT: Talisman Energy Inc. -Proposed Sour Gas Processing Plant
Part Lot 15, Concession 2
As you are aware, Talisman Energy Inc. had proposed to construct. a sour gas processing plant in
the Municipality ofBayham and the matter was the subject of an upcoming Ontario Municipal
Board Hearing to be held in April, 1999 as a result of appeals lodged by concerned property
owners and specific appeals lodged by Talisman. However, in a letter dated January 29th, 1999,
Talisman advised that they no longer wish to proceed with the project and have notified the
Ontario Municipal Board and the municipality accordingly. The Council of the Corporation of
the Municipality ofBayham at its regular meeting held Thursday, February 11th, 1999 enacted
the following resolution:
"THAT the Talisman Energy Inc. correspondence dated January 29, 1999 be
received;
AND THAT staff be directed to present a report to Council at its next
regular meeting identifying the necessary by-laws and/or resolutions which
must be rescinded accordingly;
AND FURTHER that in accordance with the Cost Recovery Agreement, an
invoice be forwarded to Talisman Energy Inc. for reimbursement of costs
incurred up to and including January 291\ 1999;
AND THAT a copy of the subject letter be forwarded to the County of Elgin,
Town ofTillsonburg, Spriet Associates, Cumming Cockburn Limited,
Michael Peterson, Barrister and Solicitor and the appellants to Official Plan
Amendment No. 105, and Mr. and Mrs. Gilles Therrien."

In accordance with the above resolution, attached is a copy of the January 29th letter from Keith
Hibbert.
As the Town ofTillsonburg and the former Village of Port Burwell had entered into option
agreements with Pembina Exploration Limited (now Talisman Energy Inc.) in 1997 to grant
easement and right of way with regard to the use of the former CP rail lands, their legal status
and required action must be determined. I am currently reviewing the documents and will notify
you ifl think legal advice should be sought. Would you please ensure that the members of the
Otter Valley Utility Corridor & Recreation Trail Committee Board of Management are aware of
this matter.

RE: Sign Costs -Otter Valley Trail
Date: February 26, 1999
As directed by the Board of Management, I have had the opportunity
to obtain costs to sign the Otter Valley Trail. Two types of signs
will be required; one advising of the ownership of the Trail and
the other restricting motorized vehicles on certain sections of the
Trail. The following is provided for your information:
i) Regulatory -'Taking Ownership' Signs:
This sign will read as follows -'Otter Valley Trail left in
natural state. Use at own risk. Only authorized uses permitted. If
any problems to report, call Tillsonburg Municipal Off ices at 842-
6428.'
This wording was suggested by Frank Cowan Company to reduce risk on
the Trail.
The cost for the sign is $41.50 (plus taxes) per unit. The sign
would be mounted on a metal pole at $20.00 {plus taxes) per unit.
Labour cost would be $70.00 per unit. Hardware required is
estimated at $50.00 and other supplies are estimated at $100.00.
Shipping cost is $15.00 (plus Taxes). Master Plan recommends 30
signs.
Total cost is $4,389.15 (includes taxes) and if the labour is
volunteered the total cost is $2,289.15 (includes taxes).
These costs are valid for 30 days only.
ii) 'No Motorized Vehicles' Signs:
This sign will have the words 'no motorized vehicles' printed on
them and will be used in the sections of the Trail where the Board
of Management has decided to prohibit motorized vehicles.
The cost for the sign is $15.92 {plus taxes) per unit. The costs
for the pole, labour, hardware, shipping and other supplies are the
same as in the previous section. It is estimated that 20 signs
would be required.

Total cost is $2,393.25 (includes taxes) and if the labour is
volunteered the total cost would be $993.25 (includes taxes).
These cost are valid for 30 days only.
It is therefore recommended that the regulatory and no motorized
vehicles signs be purchased and installed at a cost of $6,782.4
(includes taxes) and if labour is volunteered at a cost of
$3,282.40 (includes taxes).
