30 Bobolink Drive.

Ontario Marketing Alliance Inc. (SOMA) was given three readings and finally enacted.

the execution of a Shareholders Agreement with Southwestern Ontario Marketing Alliance
Inc., (SOMA) be introduced and read for a first and second time and be referred to
Committee of the Whole for further consideration and this constitutes the first and second
reading thereof.

the execution of a Shareholders Agreement with Southwestern Ontario Marketing Alliance

authorized to sign the same and place the Corporate seal thereunto.
